Terms of Service

1. Acceptance of Terms

Welcome to Qask (“Service”), an AI agents platform provided by Qask Inc. (“we,” “us,” or “our”). By accessing or using our Service, you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy, found at https://qask.tech/privacypolicy. If you do not agree with these Terms, you must not access or use the Service.

2. Definitions

• Account: A user account that you create to access and use the Service.
• Content: Any text, images, audio, video, code, data, or other material uploaded, posted, transmitted, or otherwise made available by you through the Service.
• AI Agent: An automated entity powered by artificial intelligence that interacts with Users or performs tasks within the Qask platform.
• Documentation: Any written or electronic materials, guides, FAQs, or other instructions that we provide to explain features, functionality, or usage of the Service.
• User Data: Any data, Content, or information that you submit, upload, or transmit through the Service.
• Website: The website at https://qask.tech and any subdomains thereof.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

4. Registration and Account Security

1. Account Creation: To access certain features of the Service, you must register and create an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
2. Account Credentials: You are responsible for maintaining the confidentiality of your username, password, and any other credentials used to access your Account. You agree to notify us immediately of any unauthorized use of your Account or any other breach of security.
3. Account Responsibility: You are solely responsible for all activities that occur under your Account. We reserve the right to suspend or terminate your Account if we suspect any unauthorized or fraudulent activity.

5. Description of Service

Qask is an AI agents platform that enables Users to create, deploy, and manage intelligent agents that can perform various tasks, including but not limited to: automated customer support, data analysis, content generation, and workflow automation.

• Access to AI Agent creation tools, templates, and APIs.
• Integration capabilities with third-party applications and systems.
• Dashboard and analytics for monitoring agent performance.
• Support and Documentation for best practices on AI Agent development and deployment.

6. User Obligations

By using the Service, you agree that you shall not:

• Use the Service for any unlawful, harmful, or fraudulent purpose.
• Upload, transmit, or otherwise make available User Data that is infringing, defamatory, obscene, abusive, or hateful.
• Reverse engineer, decompile, or disassemble any portion of the Service.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to any part of the Service or other Accounts.
• Use automated scripts or bots to interact with the Service, except where expressly permitted.
• Remove or alter any proprietary notices on the Service.

7. Registration Information and Privacy

We collect and process your personal information in accordance with our Privacy Policy. By using the Service, you agree to the collection and use of information as described in the Privacy Policy.

8. License Grant and Restrictions

1. License to Use Service: Subject to your compliance with these Terms, we grant you a limited, non-exclusive license to access and use the Service solely for your internal business purposes.
2. License to User Data: By submitting or uploading any User Data, you grant us a worldwide, royalty-free, sublicensable license to host, use, reproduce, modify, and display such data for providing and improving the Service.
3. License Restrictions: You shall not copy, modify, resell, or use the Service to build a competing product.

9. Intellectual Property

Ownership: We own all rights, title, and interest in and to the Service and Documentation, except for your User Data.

User Data Ownership: You retain ownership of your User Data, except for the limited license granted in Section 8.2.

10. Third-Party Integrations and Content

The Service may allow integration with third-party services. Your use of those services is governed by their respective terms. We do not endorse or assume any responsibility for third-party content.

11. Payment and Fees

Some features may require payment. You agree to pay all applicable fees according to the pricing terms. Fees are non-refundable except as required by law.

12. Prohibited Conduct

• Use the Service to transmit malicious code.
• Disrupt or degrade Service performance.
• Impersonate others or misrepresent affiliations.
• Collect information about users without consent.

13. User Content and Conduct

You are responsible for all Content you upload or share. We may remove any content that violates these Terms.

14. Privacy and Data Security

We take privacy seriously. Please refer to our Privacy Policy for details. However, we cannot guarantee complete data security.

15. Disclaimers and Warranties

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QASK INC. SHALL NOT BE LIABLE FOR ANY INDIRECT OR CONSEQUENTIAL DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED AMOUNTS PAID IN THE LAST SIX (6) MONTHS.

17. Indemnification

You agree to indemnify and hold harmless Qask Inc. and its affiliates from any claims or damages arising out of your use of the Service.

18. Termination

1. Termination by You: You may terminate your Account at any time.
2. Termination by Qask: We may suspend or terminate your access if you violate these Terms.
3. Effect: Upon termination, all licenses cease immediately.

19. Modifications

1. Service Changes: We may modify or discontinue the Service at any time.
2. Terms Updates: Updates to these Terms will be posted with a new effective date.

20. Governing Law

These Terms are governed by the laws of California, USA. Any disputes shall be brought exclusively in San Francisco County courts.

21. Waiver and Severability

No waiver of any provision is deemed a waiver of any other. If any part is held invalid, the remainder remains enforceable.

22. Assignment

You may not assign these Terms without our consent. We may assign these Terms freely.

23. Entire Agreement

These Terms constitute the entire agreement between you and Qask Inc. regarding the Service.
